Job Summary
• Perform and work with related parties to effectively perform accounting and tax due diligence, identify key risks and mitigations in accounting and tax perspectives for M& A/investment projects
• Study appropriate tax structure for M&A/investment projects
• Perform and work with related parties to effectively conduct closing purchase price adjustment, deferred purchase price settlement, and purchase price allocation in accordance with accounting standards
• Coordinate with relevant FNA functions to prepare accounting information for merger control filing and assist project team in review notification documents in accounting area
• Coordinate with relevant FNA functions to initiate integration plan and assist FNA Business Partner during transition period
Job Description
1. Perform and work with related parties to effectively perform accounting and tax due diligence, identify key risks and mitigations in accounting and tax perspectives for M& A/investment projects
- Effectively execute accounting and tax due diligence, summarize key findings and communicate to working team and management
- Work with working team in summarizing accounting and tax issues to support PTTGC’s Corporate Investment Management
- Review transactional agreements (e.g. SPA, JVA) to obtain understanding of key principles and conditions in accounting and tax perspectives, and communicate to working team and management
2. Study appropriate tax structure for M&A/investment projects
- Study tax structure options and summarize key tax matters with working team to ensure tax compliance, tax benefit utilization and alignment with business objectives
- Study tax issues to implement deal structure
3. Perform and work with related parties to effectively conduct closing purchase price adjustment, deferred purchase price settlement, and purchase price allocation in accordance with accounting standards
- Effectively execute purchase price allocation and study impacts to PTTGC’s consolidated financial statements
- Work with project owner to effectively conduct closing purchase price adjustment and deferred purchase price settlement in accounting and tax aspects
4. Coordinate with relevant FNA functions to prepare accounting information for merger control filing and assist project owner in review notification documents in accounting aspect
- Work with FNA functions to timely deliver necessary accounting information for merger control filing
- Review notification documents to comment and provide supporting information in accounting area
5. Coordinate with relevant FNA functions to initiate integration plan and assist FNA Business Partner during transition period
- Work with FNA functions to prepare proper integration plan
- Assist FNA Business Partner to ensure smooth implementation of FNA integration plan
Education
Experience
1-3 years working experience in related fields (M&A / business restructure transactions and/or international experience is a plus)
